("We", "Soroka-Vorovka",  "S-V"), web site at www.soroka-vorovka.com, (the "Website"), the on-line order services (the "Services") provided by S-V are subject to the terms and conditions of use set forth below ("Terms of Use"), which include S-V's  Privacy Policy, incorporated into these Terms of Use by reference.
"You" or "Customer" in this document shall refer to all individuals accessing  the Website and/or  the Services.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE WEB SITE OR THE SERVICES. BY USING THE WEB SITE OR THE SERVICES, YOU AGREE TO THESE TERMS OF USE. MNG CONSULTING INC MAY CHANGE THESE TERMS OF USE FROM TIME TO TIME WITHOUT NOTICE, AND SUCH CHANGES WILL BE EFFECTIVE ON THE DATE THEY ARE POSTED ON THE WEBSITE. You may only use the Website and/or  the Services in accordance with the Terms of Use, any posted policies and procedures that appear on the Website, and for lawful purposes. You agree not to use the Website and the Services  to: (a) transmit any material that infringes or misappropriates any third party's copyright, trademark, trade secret, patent, or other proprietary rights, (b) transmit any material that is false, inaccurate, fraudulent, or misleading, (c) distribute computer viruses, worms, or software intended to damage or alter a computer system without the owner's consent, (d) use "auto-responders," "cancel-bots," or other similar mechanisms that generate excessive network traffic, (e) transmit any unlawful, harmful, defamatory, pornographic, obscene, vulgar, threatening, harassing or otherwise objectionable material, (f) send or relay any unsolicited advertising or chain letters, (g) exceed your permitted access or attempt to gain unauthorized access to the Website or the Services, or any part thereof, or other accounts, computer systems or networks, through login password mining or any other means, (h) frame any portions of the Website or the Services  within another web site or establish links from any other web site to any page of the Web Site other than the home page or (i) resell use of, or access to, the Website or  the Services any third party without Soroka-Vorovka’s prior written consent. We reserve the right to terminate your access to the Website or  the Services at any time without notice if we determine, in our sole discretion, that you have abused or violated any of these terms and conditions

3. ID NUMBER, PASSWORD AND SECURITY.
You are responsible for maintaining the confidentiality of any user ID and/or password provided to you by Soroka-Vorovka for use in connection with the Website and/or the Services. You are solely responsible for all activities that occur under your user ID and/or password, and you agree to notify S-V immediately of any unauthorized use of your user ID and/or password or any other breach of security related to the Website and/or the Services.  SOROKA-VOROVKA WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO SAFEGUARD YOUR USER ID AND/OR PASSWORD OR TO COMPLY WITH THIS SECTION.

By using the Website and/or  the Services you confirm that you are 18 years old and agree to ALL Terms and Conditions in this Agreement:.

 4. SERVICES.
S-V’s provision to you of the Services may be subject to other terms, conditions and restrictions posted on the Website or communicated in writing to you by S-V, including via email. The Services are subject to availability and all price quotes are estimates. Please refer to the Frequently Asked Questions page and/or Service Terms of Use page for more information.
ALL PURCHASES AND SERVICES ARE PAID BY CUSTOMER

S-V to provide following services in USA:

4.1 To place an order (the "Order") in U.S. online stores (the"Store") or  U.S. online auctions (the "Auction") on behalf of Customer on Terms and Conditions described in this Agreement.

4.2 To receive Customer's  orders from U.S. Stores and provide storage facility in U.S. for orders made by Customer thru the Website or the Services.

4.3 To ship out received orders from U.S. to Customer by USPS, FedEx and other shipping companies and services. Shipping service determinate by Customer at the time package with order(s) is ready to be send out.

4.4 S-V agree to execute accept Orders from Customer in timely manner and provide all Services on time , for commission  (the "Fees") agreed before Order is placed. 

4.5  S-V must keep Customer informed about all updates with his/her Orders or Services. 

5.  RIGHTS AND OBLIGATIONS

5.1 S-V, reserve the right to denied to Order or to provide Service to Customer , for any reason(s) without explanations.

5.2  S-V will not share Customer's personal information and information of his/her Order(s) with anyone, with exception  Store (s) where Order(s) is placed, Shipping/Delivery Companies and other oreder related companies or by Court Order.

5.3  S-V reserved right not to place the Order until it's paid in full by Customer.

5.4   CUSTOMER MUST  PAY ON TIME AND IN FULL for
5.4.1  placed Order(s) and,
5.4.2 .Soroka-Vorovka FEEs and,
5.4.3  Shipping cost or Postage for international delivery of Customer's package(s)
All Customs Duties and Fees and,
5.4.4  if Order is returned, Customer solely responsible for shipping of goods back to U.S. and,
5.4.5  ALL expenses related to Customer's order in U.S.

5.5  Customer authorize S-V to receive packages on his/her behalf and to fill out Custom Declaration(s)

5.6  Customer authorize S-V to receive, analyze and store his/her private information submitted at registration or when Order is palced.

5.7  Customer must provide ALL required info to place the Order or providing Service(s)

5.8  Customer must keep proof of payment for the Order and/or Services and/or Shipping  until he/she received  the Package(s).

5.9  Customer must NOT order any items prohibited to import to their countries. It's Customer's sole responsibility to know which merchandises are prohibited to import to his/her country.

5.10  Customer must check link(s) (URL) in his/her Order(s) before submitting it.

6. SERVICE TERMS AND ORDER

Paying for your Order, Service and Shipping outside U.S.

6.1  To add money to your S-V account, you may use any payment method accepted by us. You may find details on "Accepted payments" page on the Website.
6.2  Customer pay all banks  fees or money transmitter's fees .
6.3  If price for merchandise in U.S. Store increased (e.g. sale ended) by the time Customer added funds to his/her account , S-V will not place Order in the Store, until Customer confirm that he/she is accepting new price.

PLACING THE ORDER
6.4  Customer must submit Order details such as color or size in the same way as they are in the U.S. online Store.

6.5  To participate in bidding on eBay auctions in U.S. or U.K. , Customer must have at least 20% of the average price for this item.

6.6  In event that at the time of placing your Order in the Store some or all items in your Order  are not available (out-of-stock), S-V will notify Customer by e-mail. Funds will remain available in your account on the Website for  new Order(s)and/or payment for shipping of  Order(s) that already  delivered to our warehouse and/or refund.

6.7  Customer solely responsible to make a research of the Store in which he/she placing the Order (e.g. when U.S. online Store is register, reviews, etc.). 

6.8  In event  that the Store or eBay seller didn't send merchandise to us or  delivered merchandise doesn't match description or  damaged  on the way to our warehouse, Soroka-Vorovka will  exercise all possible efforts including but not limited to filing report to authorities and/or U.S.Postal service, Banks etc. , to receive exchange or full refund. However in case if we unable to collect money from the Store - Customer may not hold responsibility for losing his/her money against S-V.
6.9  If Customer cancel executed order for any reason - Soroka-Vorovka FEEs are non-refundable. In case that Order was delivered to our warehouse  Customer must pay return shipping to the Store and/or restocking fees to the Store . Customer solely responsible to read return and exchange policy in the Store.
6.10  S-V are not responsible for delivery time of the Order from Store to our warehouse

7. STORAGE AND PREPARING ORDER

7.1   S-V providing free storage for your Order(s) for 45 days, from the moment of the last Order received in our warehouse..  
7.2   S-V will pack all your goods and will provide all packing materials free of charge.

7.3   S-V will prepare packages for international shipping within 24 hours as request from Customer received and Order and shipping are paid in FULL.
7.4   S-V reserve right to refuse to send Customer package(s)if it's content prohibited for Mailing and/or Shipping and/or Export from U.S.

8. SHIPPING CUSTOMER'S ORDER FROM U.S.

8.1   Soroka-Vorovka (S-V) provide international shipping  to  Customer. Available shipping methods depend on size, weight and content of package , as well as delivery destination.
8.2   Most recent prices for shipping to Customer's  country may be found on Courier websites ( e.g. USPS, FedEx, UPS, EMS etc.) or by using shipping calculator on the Website.
8.3  Customer select which international shipping method he/she will use for the Order.
8.4  S-V may charge Customer only official rate of USPS or Shipping  companies, without any extra fees.

8.5  Invoice  for shipping to Customer will be provided separately, after all merchandises in Customer's Order are received at our warehouse, packed , weighted and Customer selected shipping method. 

8.6   S-V fill out Custom Declaration. S-V will mark package as "MERCHNDISE" and will never mark it as a "GIFT".

8.7   SERVICE  OF SOROKA -VOROVKA ARE FULLY EXECUTED AFTER CUSTOMER'S PACKAGE(S)  SUBMITTED TO USPS OR SHIPPING COMPANY,  EXPECT FOR THE CASES WHEN CUSTOMER BOUGHT INSURANCE FOR HIS/HER PACKAGE(S).

8.9   S-V is not responsible for lost or damage of Customer's package or any part of it by USPS and/or Shipping company and/or Postal Service of Customer's Country.
8.10  On the Website delivery time of packages to your Country are estimated on average delivery time for particular shipping method.

9. RETURN AND REFUND TO U.S. STORES

9.1  Customer may return merchandise bought thru S-V to the Store. Merchandise may be returend in accordance with terms and conditions for return or exchange in the Store.vary from store to store.

9.2  Customer must contact V-S in case if he/she decide to return merchandise to U.S.  Store. Technically, S-V bought this merchandise from the Store and only S-V can initiate return or exchange. 

9.3  Customer must pay and organize return shipping from his/her Country to V-S and all Store return/restocking fees and/or return shipping.  

9.4  S-V organize return to U.S. Store without additional charges to Customer, however our original FEES for the Service are non-refundable.

9.5  S-V is not responsible for  any charges paid by Customer, included but not limited to,  price of merchandise, U.S. shipping and international shipping etc, in case if for any reason U.S. Store or eBay seller decline to provide refund.
9.6   Funds from return will be added to Customer's account at S-V, within 24 hours after  S-V received refund from the Store or eBay Seller.

 10. LIMITATION OF LIABILITY AND INDEMNIFICATION.

10.1  IN NO EVENT WILL SOROKA-VOROVKA (S-V), ANY OF ITS SUBSIDIARIES, PARTNERS, AFFILIATES, VENDORS OR SUBCONTRACTORS, INCLUDING THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE WEBSITE OR THE SERVICES, OR ANY WEBSITES (INCLUDING BUT NOT LIMITED TO, US ONLINE STORES, CLASSIFIED WEBSITES, EBAY,ETSY ETC) OR THIRD PARTY APPLICATIONS LINKED TO THE WEBSITE OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT OR OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER S-V KNEW OR WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. S-V'S AGGREGATE LIABLITY FOR DIRECT DAMAGES ARISING FROM OR RELATING TO THE WEBSITE OR THE SERVICES (REGARDLESS OF THE CAUSE OF ACTION, WHETHER UNDER CONTRACT, TORT, OR OTHER LEGAL THEORY) IS LIMITED TO THE GREATER OF (i) THE AMOUNT PAID BY THE USER TO S-V FOR THE SPECIFIC SERVICE (S-V FEES) THAT IS THE SUBJECT OF THE DISPUTE OR (ii) $25. THE FOREGOING LIMITATIONS OF LIABILITY ARE INDEPENDENT OF, AND SHALL APPLY REGARDLESS OF, ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED OR EXCLUSIVE REMEDY. You acknowledge that S-V has agreed to provide the Website and the Services in reliance on the exclusions of liability and disclaimers of warranty set forth herein.

10.2  You agree to indemnify and hold Soroka-Vorovka(S-V), its subsidiaries, partners, affiliates, vendors, subcontractors, officers, employees, and agents harmless from any and all losses, liabilities, damages and/or costs (including reasonable attorneys' fees) arising from any third-party claims arising from or related to your use of the Website or the Services, or your violation of the Terms of Use or the Privacy Policy.

10.3  S-V is not responsible for any mistakes of services involved in the process of Customer's Order, included but not limited to;  banks, postal and shipping companies, internet providers, payment processors, e-mail clients etc.
 10.4  S-V not liable for quality of received merchandise in Customer's Order and provide no warranty of the item(s) whatsoever, whether express, implied, or statutory, including, but not limited to, any warranty of merchantability or fitness for a particular purpose or any warranty that the contents of the item will be error-free.

10.5   By the Service default  setting, S-V will not check item(s) in the Order working condition or fitness for a particular purpose or completeness . If Customer need any verification of received Order, he/she must request it in writing and specify what's need to be verified.  Additional FEES for verification may apply.

 11. INTERNATIONAL CUSTOMS AND ACCESS

11.1  The Web Site and the Services are provided from the United States of America and all servers that make it available reside in the U.S.A. The laws of other countries may differ regarding the access and use of the Website and Services. We make no representations regarding the legality of this Website or the Services in any other country and it is your responsibility to ensure that your use complies with all applicable laws outside of the U.S.A.

11.2  S-V not liable for delays at U.S. Customs or at Customs of Customer's Country.

11.3  All Customs Duties and Fees related to Customs of Customer's Country are to be paid by Customer.

12. ARBITRATION AND GOVERNING LAW

 12.1  Any and all disputes pursuant to these Terms of Use, or otherwise between the parties, shall be submitted to binding arbitration in the State of New York in New York County in accordance with the commercial rules of the American Arbitration Association ("AAA") then in effect.
Notwithstanding the foregoing, this arbitration clause shall not in any way be deemed to limit S-V's right to commence an action in an appropriate court (and without submitting to arbitration) to protect its intellectual property rights or enjoin prohibited use of the Website or the Service.

12.2  The laws of the State of New York shall govern these Terms of Use. Subject to the arbitration provision above, YOU HEREBY EXPRESSLY CONSENT TO EXCLUSIVE JURISDICTION AND VENUE IN THE COURTS LOCATED IN NEW YORK COUNTY, NEW YORK FOR ALL MATTERS ARISING IN CONNECTION WITH THESE TERMS OF USE OR YOUR ACCESS OR USE OF THE WEBSITE OR THE SERVICE.

ENTIRE AGREEMENT
These Terms of Use and the other policies and terms posted on the Website set forth the entire agreement between Customer and Soroka-Vorovka on this subject matter and supersede all other negotiations, understandings, statements and agreements between the parties.
